# Learn about subcontracts

Read a subcontract through a reviewer's eyes. Explore a deliberately unfavourable example and learn what to question before you agree to it.

By [Jack Butler-Kettle](<https://www.quantsurv.com/about#who-we-are>) · Updated 1 October 2026

This original example brings together recurring subcontract risks. It assumes work covered by construction payment legislation in England and Wales.

Yellow highlights mark points to review in the scanned subcontract. Choose a note in the right-hand column to read the risk, an example and wording to negotiate.

Some terms are commercial choices; others may conflict with statutory rights. Read the comments before deciding what to accept or change.

## Use what you find

Keep a clause-by-clause negotiation record. Record the original wording, your amendment and reason, the contractor's response and whether the point is agreed.

Preserve each round of replies. Check that every agreed amendment appears in the final documents before signing.

Review the complete agreement, including schedules and incorporated documents. If you want help reviewing your own terms, our [pre-signing contract review](<https://www.quantsurv.com/contract-review/services/pre-signing-contract-review>) can help identify risks and amendments.

The parties, project and signatures are invented. This is a teaching example, not a contract to use or an exhaustive checklist. Suggested amendments need to work together and suit the actual project.
